Channel Subscriber Terms
These Channel Subscriber Terms ("Subscriber Terms") govern your receipt and onward publication of content through the PowersportOS Channel Communications module ("Module"). They form part of the agreement between you ("Subscriber") and Umbr AB (org. number 559512-5252, the "Provider") for use of the PowersportOS platform.
You must accept the Subscriber Terms before you can create a subscription to an Author. Acceptance is recorded per tenant at the current version; if the version changes, you will be prompted to re-accept.
1. Definitions
- Author: a PowersportOS tenant of type MANUFACTURER, DISTRIBUTOR, or DATA_PROVIDER that publishes content through the Module.
- Content: any post, article, alert, or recall notice that an Author publishes through the Module and that you receive as a delivered Publication.
- Publish Target: a destination you configure to receive Publications, such as a Shopify blog connected via the Shopify Admin API.
- Subscription: a per-Author opt-in that you create, with settings for category filter, mode (QUEUE or AUTO_PUBLISH), schedule offset, and Publish Target.
- Publication: a single delivery of an Author's Content to one of your Publish Targets.
2. Subscriber control
You select which Authors to subscribe to. Each Subscription is created and modified by you and may be paused or terminated by you at any time from the customer portal. The Provider does not auto-subscribe you to any Author.
For each Subscription you choose: (a) the mode, either QUEUE (Publications wait for explicit approval by your team) or AUTO_PUBLISH (Publications schedule directly to the configured Publish Target subject to any offset); (b) the category filter, if any; (c) the publish-time offset, including a fixed minimum delay that gives your team a window to review even in AUTO_PUBLISH mode; and (d) the rate cap, if any, on Publications received per week.
3. Storefront responsibility
Once a Publication lands on a Publish Target controlled by you (for example, an article posted to your Shopify blog), the Content appears under your brand and is presumed to have been endorsed by you for the purposes of consumer-protection, advertising, and product-liability law in your jurisdiction.
You retain final responsibility for Content that appears on your storefront, including under the Unfair Commercial Practices Directive (2005/29/EC), the Consumer Rights Directive (2011/83/EU) as amended by Directive 2019/2161, the Product Liability Directive (Directive (EU) 2024/2853), and equivalent national implementing law in the markets where you operate. Subscribing to an Author does not transfer this responsibility to the Provider.
You should review Authors' Content before publication or, if you use AUTO_PUBLISH mode with a short offset, monitor Publications after they land and act promptly on anything that requires takedown or correction.
4. Recall acknowledgement SLA
When an Author publishes Content classified as RECALL, the Module force-delivers the Content to every active Subscription with that Author, bypassing category filters, mute states, and queue modes. An owner or admin user on your account must acknowledge each RECALL delivery within forty-eight (48) hours of delivery via the customer portal (the "Recall SLA").
Acknowledgement records the date, time, IP address, user agent, and acting user, and is preserved in the audit trail. The Provider may, but is not obliged to, send reminder notifications via email or in-portal banner.
Acknowledgement is a regulatory action. By acknowledging, you confirm that an authorised person on your team has read the recall notice and that your team will take any action required by applicable law in your jurisdiction, including but not limited to: stopping sales of the affected SKUs, removing the affected products from your storefront, notifying customers who have purchased affected products, and reporting to competent regulatory authorities where required.
Repeated failure to acknowledge RECALL deliveries within the SLA is a material breach of these Subscriber Terms and may result in suspension of your access to the Module.
5. Edit scope
The Author assigns each post one of three edit scopes that limit your ability to modify Content before it is published to your storefront:
- LOCKED: no modifications. The Content is published verbatim. RECALL Content is always treated as LOCKED.
- MINOR: you may modify template placeholders such as your store name, store URL, and publication date, but not the substantive body text.
- FULL: you may freely modify the local copy of the Content. The edited version exists only on your storefront and is not synced back to the Author. The Author is not responsible for your local edits, and you assume responsibility for the modified Content as if you authored it.
6. Publish-target credentials
You provide the credentials needed for the Module to land Publications on your Publish Targets, including, where applicable, a Dev Dashboard client credential issued through Shopify's Dev Dashboard and exchanged via the client_credentials grant for a short-lived OAuth access token on each call (or, where the merchant operates under the legacy in-admin Custom App pattern still available in some configurations, the equivalent admin-issued credential).
Credentials are stored encrypted at rest. You are responsible for: (a) limiting the scopes granted to those needed for the Module ("write_content" for Shopify blog publishing in the current version); (b) rotating credentials when staff with knowledge of them leave your organisation; and (c) revoking credentials by removing the Dev Dashboard app (or, if applicable, uninstalling the legacy Custom App) at any time. Revocation immediately stops the Module's ability to publish to that Publish Target.
7. Provider rights
The Provider may, at its sole discretion and without prior notice where the situation requires:
- Suspend delivery from any Author to you if the Provider believes, on reasonable grounds, that the Content violates applicable law or these Subscriber Terms;
- Suspend or terminate your access to the Module if you materially or repeatedly breach these Subscriber Terms, including the Recall SLA;
- Comply with any order from a court or competent regulatory authority requiring takedown of Content, including by reaching into your storefront via the Adapter to delete a previously delivered Publication, where the Adapter supports it and the order so requires.
8. Logging and transparency
The Provider logs Subscription events (creation, modification, deletion), delivery events (each Publication's status and outcome), acknowledgement events, and any takedown actions taken. These logs are retained for audit, security, and DSA Article 15 transparency-report purposes. Aggregated, non-identifying statistics from these logs may be published in periodic transparency reports.
9. Fees
Use of the Module is included in your subscription to PowersportOS at the tier specified in your order form or current pricing. No additional fees apply per Publication received, per acknowledgement, or per Publish Target during the early-access phase. Pricing for general availability will be communicated with reasonable notice.
10. Term and termination
These Subscriber Terms remain in force for as long as you have an active PowersportOS subscription that includes the Module. Either party may terminate use of the Module by giving notice in accordance with the master Terms of Service. The Provider may suspend or terminate immediately for material breach, fraud, or security risk.
On termination, the Provider will stop delivering further Publications to you. Previously delivered Publications that already exist on your Publish Targets remain in place; you may remove them via your own storefront tooling at your discretion. RECALL Publications remain visible in your inbox audit-trail.
11. Governing law and disputes
These Subscriber Terms are governed by the laws of Sweden, without regard to conflict-of-laws principles. Any dispute arising from or in connection with the Subscriber Terms is subject to the exclusive jurisdiction of the Swedish courts, with Stockholm District Court (Stockholms tingsrätt) as the court of first instance.
12. Order of precedence
In the event of conflict between these Subscriber Terms and the master Terms of Service or DPA, the Subscriber Terms prevail with respect to the subject matter of the Module. Otherwise the master Terms and DPA control.
